NETSTREAM User Agreement

1.1 Age Requirement

The Platform is intended only for individuals who are 18 years of age or older. By accessing or using the Platform, you represent and warrant that you are at least 18.

1.2 KYC/AML

We may require identity verification (KYC), sanctions screening, source-of-funds checks, and other AML/CFT measures before granting access to certain Services (including but not limited to sending gifts, subscribing, earning Watch-to-Earn rewards, becoming a Creator, receiving payouts, or receiving affiliate payouts). You agree to provide accurate, current, and complete information and authorize us to process it.

1.3 Restricted Jurisdictions

We may block, limit, or condition access for users from certain countries or regions, or for persons on sanctions/denied lists. You must not use the Platform if doing so would violate applicable law in your jurisdiction.

1.4 Reverse Solicitation Statement (EU/UK/US and other restricted users)

If you are located in, resident in, or accessing the Platform from the European Union, the United Kingdom, the United States, or any other jurisdiction with financial promotion, betting/gaming, or crypto marketing restrictions, you expressly acknowledge and agree that:

• (a) you accessed the Platform on your own exclusive initiative;
• (b) NETSTREAM APP Inc. did not directly market, advertise, or otherwise solicit the Platform or the Services to you individually in your jurisdiction;
• (c) all information available on the Platform is general, global, and non-targeted in nature;
• (d) you bear the sole responsibility to ensure that your use of the Platform is lawful in your jurisdiction; and
• (e) NETSTREAM APP Inc. reserves the right to limit or disable any Service (including payments, rewards and the NFT marketplace) for you if required by law or risk considerations, even if you have accepted this Agreement.

2.1 Account Creation

To use some or all of the Services, you may be required to create an account and/or connect a SUI-compatible wallet. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2.2 Signing in with Google

You may sign in with a Google account instead of a separate wallet app. Google confirms your identity to a sign-in service operated by Mysten Labs (Enoki, using SUI zkLogin), which gives your Google account a SUI wallet address. Your use of Google and of that service is also subject to their own terms and privacy policies. If you lose access to the Google account, you may lose access to the wallet and to everything held in it; section 2.4 applies.

2.3 Membership NFTs as Access Passes

Certain features (including Creator tools and live streaming) may require holding a specific membership NFT (e.g. Silver or Gold) and completing KYC. These NFTs function as access credentials and are not securities, investment products, or promises of profit.

2.4 Loss of Access

If you lose control of your wallet or access credentials, NETSTREAM APP Inc. is not responsible for restoring NFTs, tokens, or balances to you.

4.1 Creator Responsibility

If you create, upload, or stream content on the Platform, you are solely and exclusively responsible for that content. You represent and warrant that:

• (a) you own or have obtained all necessary copyright, IP, event, and broadcasting rights;
• (b) your content does not infringe or violate any third party rights;
• (c) you have obtained any venue, organizer, or participant permissions required to film or stream; and
• (d) you will comply with all applicable laws for filming, broadcasting, and monetizing content.

4.2 Forbidden Content

It is strictly forbidden to stream, upload, or distribute:

• sexual, pornographic, nude, or sexually suggestive content;
• content involving minors or exploitation (real or simulated);
• violent, hateful, extremist, or terrorist content;
• content that promotes illegal activities, drugs, or weapons (where prohibited);
• content that violates event/league/venue broadcasting rules; or
• any content NETSTREAM APP Inc. deems harmful or non-compliant.

4.3 Age-Gating

The Platform is 18+. Creators must not target or monetize underage audiences and must not publish content that exploits minors.

4.4 Streaming Unstreamed Events

For sports, travel, clubs, local destinations, or other "unstreamed" events, the event organizer/client and the creator are responsible for verifying and holding broadcasting rights. NETSTREAM APP Inc. is only the technology platform and does not verify rights for each event.

4.5 License to NETSTREAM

By uploading or streaming, you grant NETSTREAM APP Inc. a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, and display your content on or through the Platform for operation and promotion.

4.6 Takedowns

NETSTREAM APP Inc. may remove, block, or disable content or channels at any time for violations, DMCA/IP complaints, or organizer requests.

4.7 Payments to Creators

Where creators receive subscriptions, PPV, gifts, or bounty/escrow payments, NETSTREAM APP Inc. acts as a platform/payment facilitator. We may hold funds pending checks, apply fees, or reverse payments in case of fraud, chargebacks, or policy violations.

5.1 Gifts

Viewers may send paid gifts to creators during live streams. Each gift has a price in USDC, shown before you send it, and is paid on-chain from your wallet when you send it. The creator receives 80% of the price of each gift; the remainder is the platform fee, part of which may be paid to affiliates under section 11.

5.2 Gifts Are Final

A gift is a voluntary payment to the creator. It does not buy any service, content, or obligation from the creator or from NETSTREAM APP Inc., and it cannot be returned or refunded once sent, except where required by law.

5.3 PK Battles

A PK battle is a timed live contest between two creators. The winner is the creator who receives the larger value of gifts during the battle. A battle is entertainment, not a bet or wager: viewers do not stake funds on its outcome, there is no prize paid by NETSTREAM APP Inc., and gifts sent during a battle are final whatever the result. A battle that ends early (for example, because a creator leaves) may have no winner.

5.4 Fair Play

Gifting to yourself, coordinated gifting with refunds outside the Platform, or using multiple accounts to influence a battle or a ranking is prohibited. We may void battle results, withhold earnings, or suspend accounts involved.

6.1 Reward Pools

A creator may fund a Watch-to-Earn pool for a live stream by depositing USDC and setting a fixed reward per viewer. The deposit is made on-chain from the creator's wallet. Amounts deposited into a pool are used only to pay that stream's rewards and are not refunded.

6.2 Eligibility to Earn

To earn a reward you must be signed in, have completed KYC, have access to the stream, and watch it live for the minimum time shown in the interface (currently five minutes). Each viewer can claim one reward per stream. Rewards are paid while the pool lasts; once it is empty, no further rewards are paid for that stream.

6.3 Abuse

Bots, scripts, multiple accounts, or any other way of simulating watching are prohibited. We may refuse, withhold, or reverse rewards and suspend accounts involved. Watch-to-Earn rewards are a promotional feature funded by creators and are not wages, income guarantees, or investment returns.

7.1 Resale Between Users

Holders of membership NFTs may list them for sale to other users on the NETSTREAM marketplace at a price in USDC that the seller chooses. A listed NFT is held by the marketplace smart contract until it is sold or the listing is cancelled. Sales settle on-chain and are final.

7.2 Marketplace Fee

NETSTREAM APP Inc. charges a platform fee of 13% of the sale price on each completed sale. The fee is deducted from the amount paid to the seller; the interface shows the amount the seller will receive before the NFT is listed. We may change the fee for future listings and will show the fee in force before you list.

7.3 Platform, Not Seller

Sales on the marketplace are between users. NETSTREAM APP Inc. provides the technology and the smart contract but is not the buyer or the seller of a resold NFT, does not set resale prices, and does not guarantee that a listed NFT will sell or hold any value. The access rights of a membership NFT pass to its new holder, subject to section 2.3.

8.1 Our Streaming Servers

Live streams may be carried and recorded by streaming servers operated by or for NETSTREAM APP Inc., or by third-party video providers. By going live you agree that your stream is recorded so that it can be offered as a replay and used to make clips.

8.2 Replays

Replays of live streams are kept for 30 days after the stream and then deleted. Access to a replay follows the access rules of the original stream (for example, subscription or pay-per-view). A creator may delete a stream and its replay earlier.

8.3 Clips

Creators may cut short clips from their own streams. Clips remain available until the creator deletes them or the account is closed. Sections 4.1 to 4.6 apply to replays and clips as they apply to streams.

11.1 Eligibility

To earn affiliate rewards, you may be required to complete KYC and link a wallet.

11.2 5-Level Structure

The Platform may distribute affiliate rewards up to 5 uplines. If any level is missing, the undistributed portion may revert to NETSTREAM APP Inc.'s treasury or as otherwise stated in platform documentation.

11.3 Paid Actions Only

Affiliate rewards are generated from actual paid actions (NFT mints, subscriptions, gifts, pay-per-view, and platform fees), not from registrations alone.

11.4 Fraud & Abuse

NETSTREAM APP Inc. may withhold or claw back rewards for self-referrals, fake accounts, chargebacks, or other abuses.

11.5 No Agency

Affiliates are independent users, not employees or agents of NETSTREAM APP Inc.

12.1 Currencies

Platform payments are made in USDC on the SUI network.

12.2 Fees & Non-Refundable Services

Unless required by law or expressly stated, payments on the Platform (NFT mints, subscriptions, pay-per-view, View Passes, gifts, Watch-to-Earn deposits, and marketplace fees) are non-refundable. Blockchain transactions are final: NETSTREAM APP Inc. cannot reverse a completed transfer.

12.3 Taxes

You are responsible for any taxes resulting from your use of the Platform.
