NETSTREAM USER AGREEMENT

This User Agreement ("Agreement") is a binding contract between NETSTREAM APP Inc., a company organized and existing under the laws of the Republic of Panama ("NETSTREAM," "we," "us," or "our"), and you ("User," "you," or "your") governing your access to and use of the NETSTREAM platform, website(s), mobile and web applications, smart contracts, APIs and all related services (collectively, the "Platform").

By creating an account, connecting a wallet, minting a membership NFT, uploading or streaming content, using the AI Assistant, participating in copy-trading, purchasing or subscribing to RWA Vaults/projects, entering events/prediction markets, or using any other feature, you agree to be bound by this Agreement. If you do not agree, you must not use the Platform.

IMPORTANT NOTICES

  • The Platform is intended only for users 18 years of age or older.
  • NETSTREAM APP Inc. does not provide investment, legal, tax, or financial advice.
  • Copy trading, digital assets, NFTs, events/prediction markets, and RWA-related products are high-risk and may result in loss of funds.
  • For RWA Vaults/Projects, NETSTREAM APP Inc. is not responsible for the performance or payment obligations of the project; the relevant issuer is solely responsible.
  • Creators are exclusively responsible for the content they stream or upload and must hold all necessary IP and event rights; sexual or pornographic content is strictly forbidden.
  • In certain jurisdictions (including the EU, UK, and US) you must expressly confirm that you accessed the Platform on your own initiative and that NETSTREAM APP Inc. did not market or solicit the Services to you.
  • By accepting the user agreement you give the right to NETSTREAM to send you emails and in app notifications for events taking place inside the platform.

1. ELIGIBILITY, AGE, KYC, AND REVERSE SOLICITATION

1.1 Age Requirement

The Platform is intended only for individuals who are 18 years of age or older. By accessing or using the Platform, you represent and warrant that you are at least 18.

1.2 KYC/AML

We may require identity verification (KYC), sanctions screening, source-of-funds checks, and other AML/CFT measures before granting access to certain Services (including but not limited to RWA Vaults, events/prediction markets, becoming a Creator, or receiving affiliate payouts). You agree to provide accurate, current, and complete information and authorize us to process it.

1.3 Restricted Jurisdictions

We may block, limit, or condition access for users from certain countries or regions, or for persons on sanctions/denied lists. You must not use the Platform if doing so would violate applicable law in your jurisdiction.

1.4 Reverse Solicitation Statement (EU/UK/US and other restricted users)

If you are located in, resident in, or accessing the Platform from the European Union, the United Kingdom, the United States, or any other jurisdiction with financial promotion, betting/gaming, or crypto marketing restrictions, you expressly acknowledge and agree that:

  • (a) you accessed the Platform on your own exclusive initiative;
  • (b) NETSTREAM APP Inc. did not directly market, advertise, or otherwise solicit the Platform or the Services to you individually in your jurisdiction;
  • (c) all information available on the Platform is general, global, and non-targeted in nature;
  • (d) you bear the sole responsibility to ensure that your use of the Platform is lawful in your jurisdiction; and
  • (e) NETSTREAM APP Inc. reserves the right to limit or disable any Service (including events/prediction markets) for you if required by law or risk considerations, even if you have accepted this Agreement.

2. ACCOUNTS, WALLETS, AND MEMBERSHIP NFTS

2.1 Account Creation

To use some or all of the Services, you may be required to create an account and/or connect a SUI-compatible wallet. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

2.2 Membership NFTs as Access Passes

Certain features (including Creator tools, premium copy-trading strategies, RWA Vaults, and possibly events/prediction markets) may require holding a specific membership NFT (e.g. Silver or Gold) and completing KYC. These NFTs function as access credentials and are not securities, investment products, or promises of profit.

2.3 Loss of Access

If you lose control of your wallet or access credentials, NETSTREAM APP Inc. is not responsible for restoring NFTs, tokens, or balances to you.

3. SERVICES OVERVIEW

The Platform may provide one or more of the following Services:

  • (a) Copy Trading / Trading Tech – a non-custodial, exchange-connected orchestration of copy-trading strategies (e.g. with Bybit), with risk overlays and strategy discovery via the NETSTREAM trading engine.
  • (b) Creator & Channel Economy – creation and management of channels, subscription-based access, live streaming, VOD, "Stream the Unstreamed" events, creator bounties/escrow, and gifting.
  • (c) AI Assistant – AI-powered analysis of user-submitted charts or content and generation of trade/technical suggestions or summaries.
  • (d) RWA Vaults / Featured RWA Projects – display of third-party, issuer-run tokenized or RWA-related projects, where users may participate in USDC only.
  • (e) Affiliate Program – a 5-level referral/revenue share structure based on actual paid usage of Platform Services.
  • (f) Token-based features – later use of the NET utility token for payments, discounts, or access once the token layer is activated.
  • (g) Events / Prediction Markets (User vs User) – an optional, user-funded, pooled module allowing KYC'd, eligible users to stake USDC (and later NET) on the outcome of approved events, where winners are paid from the pool funded by users who chose non-winning outcomes, and NETSTREAM APP Inc. charges a platform fee but is not the counterparty.

Your use of each Service is subject to this Agreement and any additional policies or notices shown in the interface.

4. COPY TRADING / TRADING TECH

4.1 No Investment Advice

All copy trading, trading bots, AI-generated strategies, metrics, and performance analytics available on the Platform are for informational purposes only and do not constitute investment, financial, or trading advice. You are solely responsible for your trading decisions.

4.2 Third-Party Exchanges

Execution, custody, and profit-sharing typically occur on the connected exchange (e.g. Bybit). NETSTREAM APP Inc. does not hold your exchange funds and is not responsible for the exchange's outages, fee changes, custody risks, or liquidations.

4.3 Performance Not Guaranteed

Backtests, optimizations (including 27×27 parameter combinations), or historical results do not guarantee future performance. Markets are volatile and you may lose money.

4.4 Fees

Certain membership tiers may pay cycle fees or success fees in USDC; other tiers may receive waivers or discounts. You authorize NETSTREAM APP Inc. to record such fees and route them through the Platform's revenue distribution model.

4.5 Risk Controls

You are responsible for setting and maintaining capital caps, daily loss limits, and kill switches where available. If you fail to configure such controls, losses remain your responsibility.

4.6 No Liability

To the maximum extent permitted by law, NETSTREAM APP Inc. will not be liable for losses, liquidations, missed trades, or failed webhooks related to copy trading.

5. CREATOR, CHANNELS & "STREAM THE UNSTREAMED"

5.1 Creator Responsibility

If you create, upload, or stream content on the Platform, you are solely and exclusively responsible for that content. You represent and warrant that:

  • (a) you own or have obtained all necessary copyright, IP, event, and broadcasting rights;
  • (b) your content does not infringe or violate any third party rights;
  • (c) you have obtained any venue, organizer, or participant permissions required to film or stream; and
  • (d) you will comply with all applicable laws for filming, broadcasting, and monetizing content.

5.2 Forbidden Content

It is strictly forbidden to stream, upload, or distribute:

  • sexual, pornographic, nude, or sexually suggestive content;
  • content involving minors or exploitation (real or simulated);
  • violent, hateful, extremist, or terrorist content;
  • content that promotes illegal activities, drugs, or weapons (where prohibited);
  • content that violates event/league/venue broadcasting rules; or
  • any content NETSTREAM APP Inc. deems harmful or non-compliant.

5.3 Age-Gating

The Platform is 18+. Creators must not target or monetize underage audiences and must not publish content that exploits minors.

5.4 Streaming Unstreamed Events

For sports, travel, clubs, local destinations, or other "unstreamed" events, the event organizer/client and the creator are responsible for verifying and holding broadcasting rights. NETSTREAM APP Inc. is only the technology platform and does not verify rights for each event.

5.5 License to NETSTREAM

By uploading or streaming, you grant NETSTREAM APP Inc. a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, and display your content on or through the Platform for operation and promotion.

5.6 Takedowns

NETSTREAM APP Inc. may remove, block, or disable content or channels at any time for violations, DMCA/IP complaints, or organizer requests.

5.7 Payments to Creators

Where creators receive subscriptions, PPV, gifts, or bounty/escrow payments, NETSTREAM APP Inc. acts as a platform/payment facilitator. We may hold funds pending checks, apply fees, or reverse payments in case of fraud, chargebacks, or policy violations.

6. AI ASSISTANT

6.1 Informational Only

The AI Assistant may analyze charts, screenshots, or text and suggest technical analysis or trade setups. These outputs are automatically generated and may be incorrect or incomplete. They are not financial advice.

6.2 User Submissions

You must have the right to submit any data to the AI Assistant. Do not submit proprietary or illegal material.

6.3 Usage Limits

AI usage may be subject to plan-based limits (daily/monthly), fair-use rules, and per-account quotas. NETSTREAM APP Inc. may suspend AI access for abuse.

6.4 No Liability

NETSTREAM APP Inc. is not responsible for any losses, missed trades, or poor outcomes resulting from AI outputs.

7. RWA VAULTS / FEATURED RWA PROJECTS

7.1 Platform, Not Issuer

NETSTREAM APP Inc. may display RWA or tokenized projects. NETSTREAM APP Inc. is not the issuer, seller, manager, or operator of such projects; it provides only the technology interface.

7.2 USDC-Only

Participation in RWA projects on the Platform is USDC-only. The NET token is not used for investing in RWA.

7.3 Issuer Responsibility

Each RWA project owner, fund, or issuer is solely responsible for compliance, disclosures, operations, and performance.

7.4 No Performance Guarantee

NETSTREAM APP Inc. does not guarantee any return, income, liquidity, or success for RWA projects. You may lose all or part of your USDC.

7.5 Secondary/P2P

Any secondary/P2P feature for RWA is a technical listing/bulletin board; NETSTREAM APP Inc. is not a broker or dealer.

7.6 Withholding

NETSTREAM APP Inc. may hold back a percentage (e.g. 10%) of RWA tokens/shares for treasury or alignment as described in platform materials.

7.7 Indemnity

You agree to direct any claim related to RWA performance to the issuer and to hold NETSTREAM APP Inc. harmless.

8. EVENTS / PREDICTION MARKETS (USER VS USER)

8.1 Nature

NETSTREAM APP Inc. may offer an events or prediction markets module that allows eligible, KYC-verified users to stake USDC (and, once activated, NET) on the outcome of clearly defined, platform-approved events.

8.2 User-Funded Pools

Events markets are designed as user vs user / pooled markets. Users fund the pool by staking on one of the available outcomes; after resolution, users who selected the winning outcome are paid from the pool funded by users who selected non-winning outcomes.

8.3 NETSTREAM Not the House

NETSTREAM APP Inc. may charge a platform or settlement fee, but it is not the betting/counterparty "house," does not guarantee payouts, and does not pay winnings from company funds.

8.4 Resolution

Each market will specify a resolution source or oracle. If the event cannot be resolved or is disputed, NETSTREAM APP Inc. may mark the market invalid and return stakes (minus any applicable operational fee).

8.5 Insufficient Liquidity

If a market is too one-sided (not enough stakes on the opposite outcome) or otherwise underfunded, NETSTREAM APP Inc. may cancel or refund the market to protect users and the Platform.

8.6 Fees

NETSTREAM APP Inc. may deduct fees from the pool or per-stake and route these fees through the Platform's revenue distribution model (affiliates, membership pools, treasury, team, ops).

8.7 Access Control & Geo-Blocking

NETSTREAM APP Inc. may restrict events markets by KYC level, membership NFT, or country. Even if you accept the reverse solicitation statement, NETSTREAM APP Inc. may disable this feature for you if required by law or internal policy.

8.8 User Acknowledgement

You acknowledge that events/prediction markets may be considered betting or gaming in your jurisdiction, and you participate at your own risk.

9. AFFILIATES & REVENUE SHARE

9.1 Eligibility

To earn affiliate rewards, you may be required to complete KYC and link a wallet.

9.2 5-Level Structure

The Platform may distribute affiliate rewards up to 5 uplines. If any level is missing, the undistributed portion may revert to NETSTREAM APP Inc.'s treasury or as otherwise stated in platform documentation.

9.3 Paid Actions Only

Affiliate rewards are generated from actual paid actions (NFT mints, subscriptions, AI plans, platform fees, events market fees), not from registrations alone.

9.4 Fraud & Abuse

NETSTREAM APP Inc. may withhold or claw back rewards for self-referrals, fake accounts, chargebacks, or other abuses.

9.5 No Agency

Affiliates are independent users, not employees or agents of NETSTREAM APP Inc.

10. PAYMENTS, TOKENS & FEES

10.1 Currencies

At launch, most Platform payments are in USDC. After NETSTREAM APP Inc. activates the NET token layer (for example, once treasury thresholds are met), users may pay in NET or the Platform may auto-swap USDC to NET for specific Services (e.g. memberships, creator subs, AI, events markets).

10.2 Utility Token

The NET token is a utility/payment token used to access or pay for Platform Services. It is not a share, not a debt or investment instrument, and does not by itself entitle holders to profits.

10.3 Fees & Non-Refundable Services

Unless required by law or expressly stated, Platform fees (NFT mints, subscriptions, AI plans, events stakes) are non-refundable.

10.4 Taxes

You are responsible for any taxes resulting from your use of the Platform.

11. PROHIBITED ACTIVITIES

You agree not to:

  • use the Platform for illegal, fraudulent, or money-laundering purposes;
  • stream, upload, or monetize sexual, pornographic, exploitative, or otherwise prohibited content;
  • infringe on IP, broadcasting, or event rights;
  • attempt to bypass NFT gating, KYC, or geo-blocking;
  • interfere with or reverse engineer the Platform;
  • upload malware or otherwise harm the Platform or other users;
  • create or participate in events markets that relate to illegal activity, self-harm, or other prohibited topics.

NETSTREAM APP Inc. may suspend or terminate your account for violations.

12. INTELLECTUAL PROPERTY

All Platform software, UI, logos, brand elements, and original content created by NETSTREAM APP Inc. are owned by NETSTREAM APP Inc. or its licensors. You may not copy, modify, or distribute them except as expressly permitted.

13. DISCLAIMERS

The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, NETSTREAM APP Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, nor the accuracy of AI outputs, trading signals, events market data, or RWA information (which may be provided by third parties). We do not warrant the availability or legality of events/prediction markets in your location.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by the laws of the Republic of Panama:

NETSTREAM APP Inc., its founders, directors, officers, employees, contractors, and affiliates shall not be liable for indirect, incidental, punitive, special, or consequential damages, loss of profits, loss of data, trading losses, or content disputes arising out of or in connection with the Platform or this Agreement.

Our total aggregate liability to you for any claim shall not exceed the total fees you paid to NETSTREAM APP Inc. in the three (3) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; where that is the case, the limitation will apply to the maximum extent permitted.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless NETSTREAM APP Inc. and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your content or streams;
  • your infringement of IP or event rights;
  • your use of copy trading;
  • your participation in events/prediction markets;
  • your participation in RWA projects;
  • your violation of this Agreement or of applicable laws.

16. TERMINATION

NETSTREAM APP Inc. may, with or without notice, suspend or terminate your account or access to any Service if:

  • you breach this Agreement;
  • we suspect fraud or illegal activity;
  • we are required to do so by law or regulator;
  • we discontinue a Service.

Upon termination, provisions relating to IP, disclaimers, limitation of liability, indemnity, and payment obligations shall survive.

17. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of laws rules. Any dispute arising out of or relating to this Agreement or your use of the Platform shall be submitted to the competent courts of Panama City, Republic of Panama, and you hereby consent to such jurisdiction and venue.

18. CHANGES TO THIS AGREEMENT

NETSTREAM APP Inc. may update or amend this Agreement from time to time. We will post the updated version on the Platform and may indicate the date of the latest revision. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Agreement.
